Neftaly Non-Disclosure Agreement (NDA) and Ethical Research Compliance Form

1. Introduction

This Agreement is entered into between Neftaly (hereinafter referred to as “Organization”) and the undersigned individual or entity (hereinafter referred to as “Participant/Researcher”) who will engage in activities involving sensitive information and/or research under the auspices of Neftaly.

2. Purpose

The purpose of this Agreement is to ensure confidentiality of proprietary, personal, and sensitive information and to uphold ethical standards in research conducted or supported by Neftaly.

3. Definition of Confidential Information

Confidential Information includes, but is not limited to:

• All non-public business information, strategies, and data.
• Personal data of participants or beneficiaries.
• Research data, findings, and unpublished results.
• Any other information marked or reasonably considered confidential.

4. Obligations of the Participant/Researcher

• Maintain strict confidentiality of all Confidential Information.
• Use Confidential Information solely for purposes authorized by Neftaly.
• Do not disclose Confidential Information to any third party without prior written consent.
• Secure all data and materials against unauthorized access.
• Comply with all applicable ethical research guidelines, including respect for privacy, informed consent, and non-maleficence.

5. Ethical Research Compliance

The Participant/Researcher agrees to:

• Conduct research in accordance with Neftaly’s ethical standards and relevant legal requirements.
• Obtain necessary approvals from ethics review boards before starting research activities.
• Ensure voluntary, informed consent from all human subjects.
• Protect the anonymity and confidentiality of participants.
• Report any adverse events or ethical concerns promptly to Neftaly.

6. Duration

This Agreement shall remain in effect during the term of participation and for a period of five (5) years thereafter, unless otherwise terminated in writing.

7. Consequences of Breach

Violation of this Agreement may result in legal action, termination of participation, and/or other remedies available under law.

8. Acknowledgment

By signing below, the Participant/Researcher acknowledges that they have read, understood, and agree to abide by the terms of this Agreement.
