Neftaly Non-Disclosure and Confidentiality Agreement (NDA)
This Non-Disclosure and Confidentiality Agreement (“Agreement”) is entered into by and between:
Neftaly Group, including its subsidiaries, platforms, and research divisions (hereinafter referred to as “Neftaly”),
and
[Full Name], residing at [Address], serving in the role of [Position/Title] (hereinafter referred to as “Recipient”).

1. Purpose
The Recipient may receive, access, or generate confidential information while working with or for Neftaly. This Agreement sets forth the terms under which such information must be protected.
2. Definition of Confidential Information
“Confidential Information” includes, but is not limited to:
- Research data, methodologies, tools, and frameworks
- Neftaly systems, portals, and proprietary platforms
- Internal reports, presentations, topic lists, and content drafts
- Business strategies, financial data, donor/sponsor details
- Personal or sensitive data about clients, beneficiaries, or staff
- Login credentials, software configurations, and source files
3. Obligations of the Recipient
The Recipient agrees to:
- Maintain confidentiality and not disclose any Confidential Information to any third party
- Use Confidential Information solely for Neftaly-related duties
- Protect data with reasonable security measures
- Return or destroy all Confidential Information upon termination of role or contract
- Immediately report any breach, suspected breach, or unauthorized disclosure
4. Exclusions from Confidentiality
Confidentiality does not apply to information that:
- Is publicly known without breach of this Agreement
- Is lawfully obtained by the Recipient from a third party without restriction
- Is independently developed by the Recipient without use of Neftaly resources
5. Duration
This Agreement shall remain in effect for the entire duration of the Recipient’s involvement with Neftaly and for five (5) years following termination or disengagement, unless superseded by law.
6. Ownership and Rights
All documents, outputs, data, systems, and ideas developed or accessed while working with Neftaly remain the sole property of Neftaly.
7. Breach and Remedies
Any violation of this Agreement may result in:
- Disciplinary action or termination
- Legal action including damages or injunctive relief
- Blacklisting from future Neftaly opportunities
8. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the Republic of South Africa, unless otherwise specified by Neftaly jurisdictional policy.
